CLUB C41 TERMS OF SERVICE Last Updated: May 7, 2026

1. ACCEPTANCE OF TERMS By breaking the seal on the Club C41 camera packaging, or by linking your Camera ID via our digital portal, you agree to be bound by these Terms of Service. This agreement is between you and Club C41, LLC ("Club C41", "we", "us", or "our"). If you do not agree to these terms, do not open the packaging. Unopened, sealed cameras may be subject to the return policy of the specific vendor or venue where the Service Fee was paid. Once the physical packaging is opened, all Service Fees are final.

2. DIGITAL SERVICE MODEL Club C41 provides a digital photofinishing service. Your upfront payment is a Service Fee that covers the digital processing of your photographs and a temporary license to use our proprietary camera hardware. To receive your digital scans, you must return the camera to a Club C41 Drop Box. If the camera is not returned, your Service Fee will be retained as a hardware replacement fee for the unreturned equipment.

3. THE NATURE OF ANALOG PHOTOGRAPHY You acknowledge that analog film photography and chemical development are physical, volatile processes. While Club C41 utilizes professional-grade development standards, the inherent nature of film means results are never guaranteed. Variations in lighting, user error, mechanical camera failure, or chemical processing anomalies may result in blank, distorted, or damaged images.

4. LIMITATION OF LIABILITY In the unlikely event that your film is lost, stolen, damaged, or destroyed during the drop-box retrieval, transportation, or chemical development process, Club C41’s sole liability, and your exclusive remedy, is strictly limited to a refund of the initial Service Fee. Under no circumstances shall Club C41, its venue partners, or corporate sponsors be held liable for any indirect, incidental, emotional, or consequential damages arising from lost, unrecoverable, or damaged photographs. We are providing a digital processing service and temporary use of hardware; we cannot insure the sentimental value of your images.

5. DIGITAL DELIVERY & STORAGE Club C41 delivers digital scans via a unique, unlisted URL to the contact information provided. These links are not password-protected. Upon delivery, you are solely responsible for maintaining the security of your link. Club C41 assumes no liability for unauthorized access, privacy breaches, or public exposure resulting from the sharing, forwarding, or leaking of your gallery URL. We guarantee hosting of your digital files for at least 30 days from delivery. While we may choose to host your gallery for a longer period, you are solely responsible for downloading and backing up your images within this initial 30-day window. After 30 days, your files may be permanently deleted at our discretion.

6. MEDIA RELEASE & PRIVACY If you opted "YES" to social sharing via the Registration Page, you grant Club C41 and its venue/event partners a non-exclusive, royalty-free, worldwide license to use, reproduce, and display your developed images for promotional and marketing purposes across digital and physical channels. 7. THIRD-PARTY CONSENT & INDEMNIFICATION

Representation of Consent: By utilizing the provided hardware and our digital service, you represent and warrant that you have obtained the express permission and consent of every individual depicted in your photographs prior to capturing their likeness. You further guarantee that you possess the requisite authority to grant Club C41 and its venue partners the media rights outlined in Section 6, and that the publication of your images will not infringe upon any third party’s right of privacy, right of publicity, or intellectual property rights.

Indemnification: You agree to fully indemnify, defend, and hold harmless Club C41, LLC, its venue partners, affiliates, and corporate sponsors from and against any and all claims, suits, demands, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of the foregoing representation of consent. This includes, without limitation, any third-party claims alleging invasion of privacy, unauthorized use of likeness, or violation of the right of publicity stemming from the photographs you capture and submit to our service.

8. GOVERNING LAW These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
